Rules & Regulations (R&R)

1. Introduction – You agree to be bound by these R&R. You undertake that you will use your reasonable endeavors to comply with the R&R (as updated from time to time). It is your responsibility to learn the updated R&R. Your membership may be either suspended or cancelled for breach of any of the R&R and shall be at the Committee’s sole discretion. If you DO NOT agree with the R&R, partially or entirely, simply DO NOT apply for membership.

2. Definitions

• Committee means the Membership Committee to oversee the general operations of the Industrial Clubs Membership scheme, including but not limited to, policies on acceptance of membership applications, membership fee rates, suspending/cancelling of membership and updating the R&R (from time to time).
• Fabragi means the Fabragi Company and/or its subsidiaries, directors, associates, and representatives.
• Fabragi Industrial Clubs is a Fabragi Industrial Club Concept. Thus, the terms Fabragi Industrial Clubs, Fabragi Industrial Club, Industrial Clubs, Industrial Club, Fabragi Industrial Clubs, Fabragi Industrial Club Concept, Industrial Club Concept, and Fabragi Industrial Club mean the same and are interchangeable. The Industrial Club name for each Industrial Club falls within this concept as well.
• Membership Fee(s) mean(s) the payable per Industrial Club membership and other applicable fees. Refunds, partial or full, WILL NOT be credited under any circumstances.
• Third parties mean business vendors, business partners, contractors, business associates, business sponsors, advertisers, promoters, members, Industrial Club members, or any third-party affiliates.
• Member means any individual (Industrial Club member, Industrial Club leader, or Industrial Club officer) or entity, who has been accepted to any of the Fabragi Industrial Clubs. Industrial Club members are also our partners since they operate independently as third parties.
• Fabragi is not responsible, liable, and/or accountable for and has no control over subject matters, content, information, actions, wrongdoings, business practices, or graphics of third parties. You should perform all due diligence when dealing with third parties. Fabragi does not control the privacy or security practices of third parties, or the locations where they process data. You should read the privacy and security policies of the other sites, as their practices may differ from ours. Please contact us with any concerns or comments.
• R&R mean these rules and regulations as updated from time to time.
• In the event of any conflict or inconsistency within these R&R, the Committee will decide on its interpretation and that such interpretation to be final and binding.
• In the event that the courts or legislature declares any part, provision or clause of these Rules and Regulations to be invalid, the remaining part, provision and clause shall remain in effect and remain binding.

3. Membership and Application Procedure

• Each prospective member must apply for membership via the application procedure by completing the application form and sending it to Fabragi along with payment. After acceptance, all Industrial Club members MUST also set up an account (free signup) at the  Industrial Club website at https://fabragi.net/ although anyone can also sign up, for FREE.
• Eligibility for membership shall be decided by the Membership Committee in accordance with the membership criteria laid down and such will be final and binding.
• The rights of the members and memberships are not transferable.
• The Committee reserves the right to amend and/or supplement the present R&R at any time without prior notices. If that occurs, all prior R&R are superseded and that only the new R&R are in effect.
• The Committee is under no obligation to provide a reason for refusal and/or termination of any application/membership.
• All prospective members must be at least 18 years of age or have consent of parent(s) or legal guardian(s), by signing this application.
• Membership is conditional upon the member accepting and abiding by these R&R and payment(s). Member acknowledges that these R&R are binding upon and enforceable against the member by the Committee.

4. Changes in Member’s Details – It is the sole responsibility of member to advise the Committee of any changes in their contact and personal details which may affect their membership and/or commission payments.

5. Referrals – You will still earn a referral commission regardless which Industrial Club your member recruit joins.

6. Industrial Club Leadership – You can run for an Industrial Club Leadership position once you qualify to do so as explained in https://fabragi.net/1588722064/.

7. Grievance Procedure/Appeal – A member may make representations regarding his/her suspension or cancellation of membership, or any other grievance, by writing to the Committee. The Committee will consider the member’s grievance or appeal and whose decision will be final.

8. Payments – All members must pay their Membership Fees and any other bills immediately due. If fees/bills remain unpaid, the Committee reserves the right to automatically terminate membership and all rewards will be terminated as well.

9. Taxes and Governmental Filings – It is the member’s sole responsibility to file taxes and all required governmental filings.

10. Data Protection – Fabragi will hold all information on its members in the strictest confidence and will not divulge nor share it (accept within the Company and its subsidiaries) without the member’s prior written agreement. Any member may request in writing a copy of the information held on him/her.

11. Termination of Membership

• Voluntary Termination – A member may terminate his/her membership at any time. All outstanding fees and bills at the time of termination will become immediately due. No partial membership fees will be credited under any circumstances.
• Termination for Failure to Pay Membership Fees – The Committee shall have the right to suspend the membership rights of a member who fails to pay membership fees. All commissions and Industrial Club leadership standings will be terminated immediately (until reinstated). An Industrial Club leadership position can only be reinstated if it is still available.
• Termination for Breach – The Committee shall be entitled to terminate the membership of a member in case of breach of any of the R&R.

12. Changes to the Membership R&R - Fabragi reserves the rights to edit, from time to time, the R&R, the payout % and commission amounts, levels of Industrial Club leadership, and various other changes (without prior notices).

13.Removal from Office - Fabragi reserves the rights, at its sole discretion, to remove any Industrial Club member from duties and membership, temporarily or permanently, for any misconduct, violating any rule and regulation, breaking any territory governing laws, or it feels that such an Industrial Club member is not performing his/her duties. When this removal occurs, all commissions/payouts/privileges will also be terminated under any circumstances immediately. If an Industrial Club member feels that he/she has been wrongfully terminated, a hearing may be requested. The Committee or selected members will preside over the hearing. Once a decision has been made, it is final and binding.

14. Code of Conduct – All members agree to abide by the Code of Conduct:

• A Member shall not act in any manner which may damage or otherwise adversely affect the reputation of Fabragi, Fabragi Industrial Clubs, any other Industrial Club member, any Industrial Club, any third party, or its directors, associates, and representatives.
• A Member shall not knowingly violate any laws and/or codes set by Fabragi, Fabragi Industrial Clubs, and/or governmental authorities. Fabragi, Fabragi Industrial Clubs, and/or its directors, associates, and representatives shall not be liable and/or accountable for any member’s action or wrongdoing. Member shall SOLELY be liable and/or accountable for all of member’s action or wrongdoing.
• A Member shall not use any brand, property, product, and/or service belonging to Fabragi, Fabragi Industrial Clubs, or third parties for any purpose whatsoever without the written consent of its owner(s).

15. Legal Notice – If any part of this R&R is declared by any court of law to be illegal and/or unenforceable, the rest of the R&R is still enforceable and remains binding.

Industrial Club Member

• Earn $5 for every Industrial Club membership referral! Refer at least 5 members (of any Industrial Club) and automatically move up to the next social-class level.
• Take this opportunity to improve your personal and skill development!

Industrial Club Team Leader (TL)

• Refer at least 5 members (of any Industrial Club) to earn the title.
• Earn $5 for every Industrial Club membership referral (beginning at the 6th referral)!
• Take this opportunity to learn your teamwork skills!
• Refer at least 10 members (of any Industrial Club) and automatically move up to the next  social-class level.

Industrial Club Neighborhood Captain (NC)

• Refer at least 10 members (of any Industrial Club) to earn the title.
• Earn $5 for every Industrial Club membership referral (beginning at the 11th referral)!
• Oversee the neighborhood operations of the Industrial Club!
• Take this opportunity to learn your leadership skills!
• Coordinate with the CL for rules, regulations, planning, operations, etc.
• Refer at least 25 members (of any Industrial Club) and automatically move up to the next social-class level.

Industrial Club Community Leader (CL)

• Refer at least 25 members (of any Industrial Club) to earn the title.
• Earn $5 for every Industrial Club membership referral (beginning at the 26th referral)!
• Oversee the community operations of the Industrial Club!
• Take this opportunity to improve your leadership skills!
• Coordinate with the CM for rules, regulations, planning, operations, etc.
• Refer at least 25 members (of any Industrial Club) to qualify for running for the Office of the next social-class level.

The following Offices are based on actual geographical areas. One MUST be voted by members and/or appointed by Fabragi.

City Leadership Level

Industrial Club City Manager (CM)

• MUST be at least an Industrial Club Community Leader (CL) to run for this Office
• Earn 1% of ALL city Industrial Club revenues (determined by Fabragi and based on actual city limits). Does not earn commission per membership referral.
• Term: 4 yrs. (by voting); unlimited number of terms
• Oversee the city activities of the Industrial Club that may include organizing Industry Industrial Club Festivals, obtaining funding for various Industrial Club activities, and creating Industrial Club developments, improvements, collaborations, and opportunities.
• Coordinate with the Industrial Club County Supervisor (CS),the Industrial Club City Logistics Director (CLD), the Industrial Club City Senior Accountant (CSA), the Mayor’s Office, etc.

Industrial Club City Logistics Director (CLD)

• MUST be at least an Industrial Club Community Leader (CL) to run for this Office
• Earn 1% of ALL city Industrial Club revenues (determined by Fabragi and based on actual city limits). Does not earn commission per membership referral
• Term: 4 yrs. (by voting); unlimited number of terms
• Oversee the city logistics operations of the Industrial Club
• Coordinate between the Industrial Club HQ Logistics Director (HQLD), the Industrial Club City Senior Accountant (CSA), the Industrial Club City Manager (CM), etc.

Industrial Club City Senior Accountant (CSA)

• MUST have knowledge of accounting. BS in Accounting and CPA a plus
• Earn 1% of ALL city Industrial Club revenues (determined by Fabragi and based on actual city limits). Does not earn commission per membership referral
• Term: appointed by Fabragi
• Oversee the city accounting operations of the Industrial Club
• Coordinate with the Industrial Club City Manager (CM),the Industrial Club County Senior Accountant (CoSA), etc.

County Leadership Level

Industrial Club County Supervisor (CS)

• MUST have held, presently or previously, at least the position of an Industrial Club City Manager (CM) to run for this Office
• Earn 0.75% of ALL county Industrial Club revenues (determined by Fabragi and based on actual county limits). Does not earn commission per membership referral
• Term: 4 yrs. (by voting); unlimited number of terms
• Oversee the county activities of the Industrial Club that may include promoting the Industrial Club Concept countywide, organizing and/or assisting in organizing Industry Industrial Club Festivals, obtaining funding for various Industrial Club activities, and creating Industrial Club developments, improvements, collaborations, and opportunities.
• Coordinate with all the Industrial Club City Managers (CM) in the county, the Industrial Club County Senior Accountant (CoSA), the Industrial Club State Manager (SM), etc.

Industrial Club County Senior Accountant (CoSA)

• MUST have knowledge of accounting. BS in Accounting and CPA a plus
• Earn 0.75% of ALL county Industrial Club revenues (determined by Fabragi and based on actual county limits). Does not earn commission per membership referral
• Term: appointed by Fabragi
• Oversee the county accounting operations of the Industrial Club
• Coordinate with the Industrial Club County Supervisor (CS), the Industrial Club State Senior Accountant (SSA), all the Industrial Club City Senior Accountants (CSA), etc.

State Leadership Level

Industrial Club State Manager (SM)

• MUST have held, presently or previously, at least the position of an Industrial Club County Supervisor (CS) to run for this Office
• Earn 0.5% of ALL state Industrial Club revenues (determined by Fabragi and based on actual state limits). Does not earn commission per membership referral
• Term: 4 yrs. (by voting & approved by Fabragi); unlimited number of terms
• Oversee the state activities of the Industrial Club that may include promoting the Industrial Club Concept statewide, organizing and/or assisting in organizing Industry Industrial Club Festivals, obtaining funding for various Industrial Club activities, and creating Industrial Club developments, improvements, collaborations, and opportunities.
• Coordinate with all the Industrial Club County Supervisors (CS) in the state, the Industrial Club State Senior Accountant (SSA), the Industrial Club National Director (ND), etc.

Industrial Club State Senior Accountant (SSA)

• MUST have knowledge of accounting. BS in Accounting and CPA a plus
• Earn 0.5% of ALL state Industrial Club revenues (determined by Fabragi and based on actual county limits). Does not earn commission per membership referral
• Term: appointed by Fabragi
• Oversee the State accounting operations of the Industrial Club
• Coordinate with the Industrial Club State Manager (SM), all the Industrial Club County Senior Accountants (CoSA), the Industrial Club National Senior Accountant (NSA), etc.

National Leadership Level

Industrial Club National Director (ND)

• MUST have held, presently or previously, at least the position of an Industrial Club State Manager (SM) to run for this Office
• Earn 0.4% of ALL national Industrial Club revenues (determined by Fabragi). Does not earn commission per membership referral
• Term: 4 yrs. (by voting & approved by Fabragi); unlimited number of terms
• Oversee all the national activities of the Industrial Club that may include promoting the Industrial Club Concept nationwide, organizing and/or assisting in organizing Industry Industrial Club Festivals, obtaining funding for various Industrial Club activities, and creating Industrial Club developments, improvements, collaborations, and opportunities.
• Coordinate with all the Industrial Club State Managers (SM), the Industrial Club National Senior Accountant (NSA), the Industrial Club Global President (GP), etc.

Industrial Club National Senior Accountant (NSA)

• MUST have knowledge of accounting. BS in Accounting and CPA a plus
• Earn 0.4% of ALL national Industrial Club revenues (determined by Fabragi). Does not earn commission per membership referral
• Term: appointed by Fabragi
• Oversee the national accounting operations of the Industrial Club
• Coordinate with the Industrial Club National Director (ND), all the Industrial Club State Senior Accountants (SSA), the Industrial Club HQ Senior Accountant (HQSA), etc.

Global Leadership Level

Industrial Club Global President (GP)

• MUST have held, presently or previously, at least the position of an Industrial Club National Director (ND)to run for this Office
• Earn 0.3% of ALL global Industrial Club revenues (determined by Fabragi). Does not earn commission per membership referral
• Term: appointed by Fabragi
• Oversee the global activities of the Industrial Club that may include promoting the Industrial Club Concept globally, organizing and/or assisting in organizing Industry Industrial Club Festivals, obtaining funding for various Industrial Club activities, and creating Industrial Club developments, improvements, collaborations, and opportunities.
• Coordinate with the Industrial Club HQ Director (HQD), all the Industrial Club National Directors (ND), etc.

Industrial Club Global Logistics Director (GLD)

• Earn 0.3% of ALL global Industrial Club revenues (determined by Fabragi). Does not earn commission per membership referral
• Term: appointed by Fabragi
• Oversee the global logistics operations of the Industrial Club
• Coordinate with the Industrial Club HQ Logistics Director (HQLD), the Industrial Club Global President (GP), etc.

Industrial Club Global Senior Accountant (GSA)

• MUST have knowledge of global accounting practices. BS in Accounting and CPA a plus
• Earn 0.3% of ALL global Industrial Club revenues (determined by Fabragi). Does not earn commission per membership referral
• Term: appointed by Fabragi
• Oversee the global accounting operations of the Industrial Club
• Coordinate with the Industrial Club Global President (GP), all the Industrial Club National Senior Accountants (NSA), the Industrial Club HQ Senior Accountant (HQSA), etc.

Headquarters Leadership Level

Industrial Club HQ Director (HQD)

• Liaison between ALL the Industrial Clubs and Fabragi
• Earn 0.1% of revenues from ALL the Industrial Clubs (determined by Fabragi). Does not earn commission per membership referral
• Term: appointed by Fabragi
• Oversee all the activities of ALL the Industrial Clubs
• Coordinate with ALL the Industrial Clubs and Fabragi

Industrial Club HQ Logistics Director (HQLD)

• Liaison between ALL the Industrial Clubs and Fabragi
• Earn 0.1% of revenues from ALL the Industrial Clubs (determined by Fabragi). Does not earn commission per membership referral
• Term: appointed by Fabragi
• Oversee the logistics operations of ALL the Industrial Clubs
• Coordinate with ALL the Industrial Clubs and Fabragi regarding logistics

Industrial Club HQ Senior Accountant (HQSA)

• Must have knowledge of global accounting practices. BS in Accounting and CPA a plus
• Liaison between ALL the Industrial Clubs and Fabragi
• Earn 0.1% of revenues from ALL the Industrial Clubs (determined by Fabragi). Does not earn commission per membership referral
• Term: appointed by Fabragi
• Oversee the accounting operations of ALL the Industrial Clubs
• Coordinate with ALL the Industrial Club Global Senior Accountants (GSA) of ALL the Industrial Clubs, the Industrial Club HQ Director (HQD),the Industrial Club HQ Logistics Director (HQLD), Fabragi, etc.

• Note that the above positions are strictly commission-based. You are NOT, expressed or implied, an employee of Fabragi. You are considered an independent contractor. As such, it is your sole responsibility to file any and all legal requirements from the governing laws in your geographical area.
• Under no circumstances SHALL an Industrial Club member mislead a potential recruit. Just give the facts! Not everyone entertains to the idea (whatever the idea may be) you are offering; therefore, presenting the VALUE (the benefits of being an Industrial Club member in this case) and all the FEATURES should be good enough. It is up to your potential recruit to decide.
• One can only run for Office of their Industrial Club. Nevertheless, there are no rules preventing someone from joining membership of another Industrial Club or multiple Industrial Clubs.
• One cannot jump social-class levels (as described in the Table above)
• Once an individual has held an Office of a certain social-class level of a club, they can run for Office of the same or a lower social-class level of such a club again.
• Before a term ends, one can run for another Office (in their geographical or another area).
• While not in Office, one can still earn referral commissions as an Industrial Club Community Leader (CL).
• All the candidates will get voted and take offices the same election year. If there is a vacancy, a special election will take place. The new elect will be in Office for the remainder of the term ONLY until the next election year, in which, he/she MUST run for the same Office again.
• Once someone takes an Office, their commission standing will be transferred from the previous position to the current position.
• Voting may take place during the actual US political election time.
